Terms and Conditions of Sale and Licensing

These Terms and Conditions govern access to, browsing, purchase, and use of licenses for photographic and video content distributed through the platforms managed by IPA Srl, accessible through the official domains of the IPA Group.
Access to the platform, account registration, content download, and purchase of licenses imply full acceptance of these Terms and Conditions.
1. Service Provider
The platform is managed by:

IPA manages and distributes its own photographic and video content, content from Fotogramma Srl, represented authors, and national and international partners.
2. Subject of the Service
The platform allows users to browse, search, download, and license editorial and creative/stock photographic and video content.
The images and videos available in the archive may be distributed and licensed by IPA Srl and Fotogramma Srl (“IPA Group”).
The IPA Group grants only licenses to use the content and does not, under any circumstances, transfer intellectual property, copyright, or other economic rights relating to the content itself.
3. Distinction between Editorial Area and Creative/Stock Area
Editorial Area
The Editorial area contains content primarily intended for journalistic, informational, cultural, or documentary uses.
Access to editorial content may be subject to prior approval and dedicated commercial agreements.
Editorial licenses are normally managed through direct commercial relationships with IPA and not through automatic ecommerce.
Creative / Stock Area
The Creative/Stock area allows:
● the online purchase of standard licenses through ecommerce;
● the immediate download of purchased content;
● the request for customized licenses through direct contact with IPA.
The licenses available online are standardized and limited to the uses expressly indicated at the time of purchase.
For different needs, extended uses, or customized licenses, the user must contact IPA before using the content.
4. Registration and Account
Access to the platform’s reserved features, including downloads, ecommerce purchases, and license management, requires the registration of a personal account.
The user is responsible for:
● the accuracy of the data provided;
● the confidentiality of credentials;
● any activity carried out through their account.
Credentials are personal and non-transferable.
IPA reserves the right to suspend or revoke accounts used improperly or in violation of these Terms.
5. Licenses of Use
The purchase of content entails only the granting of a limited, non-exclusive, non-transferable, and non-sublicensable license of use, unless otherwise specified.
Licenses are limited to:
● the type of use selected;
● the authorized communication channels;
● any duration provided;
● any territory provided;
● the single authorized Work/Project.
Use of the content outside the purchased license requires prior written authorization from IPA.
Downloading the file does not, under any circumstances, transfer ownership of the image or video.
6. Types of Ecommerce Licenses
The specific conditions of each license are indicated before purchase on the relevant ecommerce screen.
The main categories of use may include:
● editorial use;
● promotional and marketing use;
● photographic exhibitions and shows;
● other specific uses that may be indicated on the platform.
For each license, the following are indicated:
● permitted channels;
● any limitations;
● license duration;
● license territory;
● prohibited uses.
7. Use of Content and Limitations
The user undertakes to use the content exclusively within the limits of the purchased license and in compliance with applicable law.
Unless otherwise authorized in writing, it is prohibited to:
● resell the content;
● sublicense the content;
● redistribute the original files;
● upload the content to third-party databases or archives;
● use the content for datasets, AI training, or machine learning;
● use automated scraping or harvesting systems;
● use the content for NFTs or similar products;
● use the content outside the context authorized by the purchased license.
Images and videos may not be used:
● in a defamatory manner;
● in a misleading manner;
● illegally;
● in a way that damages the reputation of persons, companies, or entities;
● in contexts contrary to applicable law.
The user assumes all responsibility for the use, publication, dissemination, or modification of the content after download.
The user undertakes to indemnify and hold harmless IPA, Fotogramma, the authors, distribution partners, and rights holders from any dispute, claim, damage, cost, or demand arising from:
● unauthorized uses or uses exceeding the purchased license;
● infringement of third-party rights;
● unlawful, defamatory, or legally non-compliant uses;
● modifications or alterations to the content made by the user.
Unless expressly indicated, IPA does not guarantee that the content is accompanied by releases relating to persons, trademarks, private property, or other third-party rights.
The user is required to independently verify the suitability of the content for the specific intended use.
8. Geographic Restrictions and Content Availability
Some content may be subject to territorial limitations or restrictions imposed by partners, authors, or rights holders.
IPA reserves the right to:
● limit the viewing or purchase of specific content;
● change the availability of certain content;
● remove content from the archive without notice.
The availability of content may vary depending on:
● the customer’s nationality;
● the country of access;
● the type of use requested.
9. Third-Party Partner Content
Some content distributed through the platform may belong to national or international third-party partners and may be subject to additional or different license conditions defined by the respective rights holders.
Where applicable, such conditions will be made available to the user before the purchase or download of the content is completed.
By completing the purchase or download, the user declares that they have read and accepted any additional conditions provided by the original partners of the content.
10. Prices and Payments
Prices indicated on the website are expressed in Euro and may be subject to VAT where applicable.
Ecommerce payments are managed through secure third-party payment platforms, including Stripe.
The download of purchased content is enabled only after payment confirmation.
IPA does not directly store complete payment card details.
11. Invoicing
The tax invoice is issued by IPA in accordance with applicable law.
Unless otherwise indicated:
● invoices relating to ecommerce purchases are issued by the end of the relevant month;
● electronic invoices are transmitted through the Sistema di Interscambio (SDI);
● a courtesy copy may be sent by email.
12. Download and File Storage
The user is responsible for storing downloaded content.
IPA does not guarantee the permanent availability of files within the archive or the user account.
The user is required to verify the availability of the content again in the event of subsequent reuse.
13. Right of Withdrawal
Pursuant to Art. 59 of Italian Legislative Decree 206/2005 (Consumer Code), the right of withdrawal is excluded for the supply of digital content on a non-material medium once the download or performance of the digital service has begun.
By completing the purchase, the user:
● requests the immediate performance of the service;
● accepts the loss of the right of withdrawal once the download of the digital content has started.
14. Intellectual Property
All content on the platform is protected by national and international laws on copyright and intellectual property.
All rights not expressly granted remain reserved to their respective holders.
15. Limitation of Liability
IPA shall not be held liable:
● for unauthorized uses carried out by the user;
● for uses exceeding the purchased license;
● for modifications made to the content by the user;
● for any temporary interruptions of the service;
● for limitations arising from third-party rights.
The user remains solely responsible for the final use of the content.
16. Privacy and Cookies
The processing of personal data is governed by the Privacy Policy and Cookie Policy available on the website.
17. Changes to the Terms
IPA reserves the right to amend these Terms and Conditions at any time.
The changes will take effect from the date of publication on the website.
18. Applicable Law and Jurisdiction
These Terms are governed by Italian law.
For any dispute, the competent court shall be:
● the consumer’s court in the cases provided for by law;
● in all other cases, the Court of Milan.

Publication Right
○ Grants the Licensee the right to publish the image through the granted communication channels.
Limited Reproduction Right
○ Grants the Licensee the right to reproduce, without quantity limits, the Work/Project containing the Images.
○ The images may not be reproduced separately or used in other contexts without further authorization.
Limited Distribution Right
○ Grants the Licensee the right to distribute physical copies of publications containing the images through traditional channels such as newsstands, bookstores, and direct sales.
○ The images may not be distributed separately or used in other contexts without further authorization.
Adaptation Right
○ Grants the Licensee the right to make minimal changes to the images, such as cropping or resizing, to adapt them to publication layouts while maintaining the integrity and original context of the image.
Limited Economic Exploitation Right
○ Grants the Licensee the right to commercialize a Work/Project containing the licensed Images. This license allows the use of images as an integral part of a final product owned by the Client and intended for commercial exploitation.
○ The images may not be commercialized separately or used in other contexts without further authorization.
Limited Archiving Right
○ Grants the Licensee the right to archive the Work/Project containing the image used, in its own archives, as well as the image itself for reference or research purposes.
○ The images may not be archived separately or used in other contexts without further authorization.
Promotional Use Right
○ Grants the Licensee the right to use the images to promote the Work/Project through the granted communication channels.

○ Grants the Licensee the right to make minimal changes to the images, such as cropping or resizing, to adapt them to publication layouts while maintaining the integrity and original context of the image.
Promotional Use Right
○ Grants the Licensee the right to use the images to promote the Work/Project through the granted communication channels.

○ Grants the Licensee the right to transmit and/or communicate the images to the public through the granted communication channels.
Publication Right
○ Grants the Licensee the right to publish the image through the granted communication channels.
Limited Archiving Right
○ Grants the Licensee the right to archive the Work/Project containing the image used, in its own archives, as well as the image itself for reference or research purposes.
○ The images may not be archived separately or used in other contexts without further authorization.
Adaptation Right
○ Grants the Licensee the right to make minimal changes to the images, such as cropping or resizing, to adapt them to publication layouts while maintaining the integrity and original context of the image.
Limited Rebroadcast Right
○ Grants the Licensee the right to rebroadcast the Work/Project containing the images through the granted communication channels.
○ The images may not be archived separately or used in other contexts without further authorization.
Limited Economic Exploitation Right
○ Grants the Licensee the right to commercialize a Work/Project containing the licensed Images. This license allows the use of images as an integral part of a final product owned by the Client and intended for commercial exploitation.
○ The images may not be commercialized separately or used in other contexts without further authorization.
Promotional Use Right
○ Grants the Licensee the right to use the images to promote the Work/Project through the granted communication channels.
3.b Communication Channels Permitted for TV/Broadcasters
○ Linear Television Broadcast (limited to the indicated channels)
○ Streaming and On-Demand Platforms (limited to the indicated channels)
○ Websites, Web Portals, and Webzines (limited to the indicated URLs)

4.a Permitted Uses for Editorial Services – TV Production Companies

Adaptation Right
○ Grants the Licensee the right to make minimal changes to the images, such as cropping or resizing, to adapt them to publication layouts while maintaining the integrity and original context of the image.
Internal Use Right
○ Grants the Licensee the right to use and archive the images within its own systems for the creation and management of the Work/Project on behalf of third parties. However, use must be limited to the agreed Work/Project and may not extend to uses in different works and projects.
Limited Archiving Right
○ Grants the Licensee the right to archive the Work/Project containing the image used, in its own archives, as well as the image itself for reference or research purposes.
○ The images may not be archived separately or used in other contexts without further authorization.
Limited Economic Exploitation Right
○ Grants the Licensee the right to commercialize a Work/Project containing the licensed Images. This license allows the use of images as an integral part of a final product owned by the Client and intended for commercial exploitation.
○ The images may not be commercialized separately or used in other contexts without further authorization.
Promotional Use Right
○ Grants the Licensee the right to use the images to promote the Work/Project through the granted communication channels.
Right of Inclusion and Transfer of the Work/Project*
○ Grants the Licensee the right to include the images within the Work/Project, produced on behalf of third parties, which may be transferred to the latter together with the usage rights granted under sublicense.
Limited Sublicense (2)
○ Grants the Licensee, but not the sublicensee, the right to include the images in the Work/Project and to grant a sublicense to the final client for the use of the images exclusively within the Work/Project.
○ The image may not be used separately or for other purposes without further authorization.

5.a Permitted Uses for Press Offices, PR, and Press Agencies

○ Grants the Licensee the right to transmit and/or communicate to the public, without quantity limits, the Work/Project containing the Images, exclusively for the intended use and within the contexts agreed in this contract.
○ The images may not be transmitted separately or used in other contexts without further authorization.
Adaptation Right
○ Grants the Licensee the right to make minimal changes to the images, such as cropping or resizing, to adapt them to publication layouts while maintaining the integrity and original context of the image.
Limited Sublicense (1)
○ Grants the Licensee, but not the sublicensee, the right to include the photo in the press launch/release and to grant a sublicense to the recipient media for the use of the images exclusively in the context of the news related to the press launch/release. The photo may be used by recipient media only to accompany the related editorial content and may not be used separately or for other purposes without further authorization.

6.a Permitted Uses for Photographic Exhibitions and Shows
Cost: €200.00
Use: One publication/reproduction of the work
Duration: 6 Months
Territory: Italy
Exhibition Right (or Display Right)
○ Grants the right to publicly display the image in physical or digital format within an exhibition space (museum, gallery, temporary or permanent exhibition), exclusively within the scope of the authorized exhibition.
Reproduction Right for Exhibition Installation
○ Allows the image to be reproduced for printing or production of physical supports (e.g., fine art prints, panels, lightboxes) intended exclusively for display in the exhibition.
Reproduction Right in the Exhibition Catalogue
○ Authorizes inclusion of the image within the official printed and/or digital catalogue of the exhibition. The catalogue may be sold or distributed free of charge as part of the cultural project.
Right of Communication to the Public for Event Promotion
○ Allows the use of the image (or a detail thereof) to promote the exhibition on invitations, posters, press releases, newsletters, the official exhibition website, and the organizer’s social pages.
➢ This use must be limited to the promotion of the event and may not be used for third-party promotion or commercial purposes.
Archiving Right
○ Allows a digital copy of the image to be stored within the internal archives of the organizer or curator for documentary or research purposes, without further public use.

○ Grants the Licensee the right to make minimal changes to the images, such as cropping or resizing, to adapt them to publication layouts while maintaining the integrity and original context of the image.
Modification Right
○ Grants the Licensee the right to modify the integrity of the original image and/or insert graphic elements, texts, or other images in general.
Limited Communication and/or Transmission Right for Modified Images
○ Grants the Licensee the right to transmit and/or communicate to the public, without quantity limits, the Work/Project containing the modified Images, exclusively for the intended use and within the contexts agreed in this contract.
○ The original and/or modified images may not be transmitted separately or used in other contexts without further authorization.
Limited Publication Right
○ Grants the Licensee the right to publish the modified image on the granted Communication Channels.
○ The original and/or modified images may not be published separately or used in other contexts without further authorization.
Limited Archiving Right
○ Grants the Licensee the right to archive the Work/Project containing the image used, in its own archives, as well as the modified image for reference or research purposes.
○ The original images may not be archived separately or used in other contexts without further authorization.
Limited Sublicense (3)
○ Grants the Licensee, but not the sublicensee, the right to allow one of its distributors or partners to use the image exclusively for promotional purposes and limited to the communication channels permitted under this agreement. The distributor or partner may use the image only to promote the Licensee’s products or services, and in no case may the image be used for commercial purposes unrelated to the Licensee’s business.

○ Grants the Licensee the right to include the images within the Work/Project, produced on behalf of third parties, which may be transferred to the latter together with the usage rights granted under sublicense.
8.b Communication Channels Permitted for Editorial Services – Communication Agencies
None
